These Terms and Conditions (“Terms”) govern Your access to and use of the CentPay web platform and mobile application and the related services provided by CENTPAY. Please read them carefully. They set out Your rights and obligations, the risks of using digital assets, the limits of Our liability, and the law and courts that apply to any dispute.

Important: CentPay is not a bank. Balances held in Your CentPay Wallet are not bank deposits and are not protected by any deposit guarantee or insurance scheme. Digital assets are highly volatile, and transactions on blockchain networks cannot be reversed. You may lose some or all of the value of Your digital assets. Only use the Service with funds You can afford to lose.

Agreement, Eligibility and Your Account

1. Acceptance of These Terms

1.1

By downloading or installing the mobile application, accessing the web platform, registering an Account, or otherwise accessing or using the Service, You agree to be bound by these Terms and by Our Privacy Policy, which forms part of these Terms. If You do not agree to these Terms, You must not access or use the Service.

1.2

These Terms form a legally binding agreement between You and the Company. Certain features of the Service may be subject to additional terms, such as the terms of a Card Issuer or a Third-Party Provider. Where additional terms apply to a feature, they supplement these Terms and, in the event of a conflict regarding that feature, the additional terms prevail to the extent of the conflict.

1.3

You confirm that You have the legal capacity to enter into these Terms and that You are using the Service on Your own behalf.

2. Definitions

2.1

In these Terms, the following words have the following meanings:

Account
means the account You register to access the Service.
Card
means a virtual or physical payment card made available to You through the Service.
Card Issuer
means the licensed third-party financial institution that issues a Card, under licence from a card network such as Visa or Mastercard.
Company, We, Us or Our
means CENTPAY, Dubai, United Arab Emirates.
Device
means any device, such as a mobile phone, tablet or computer, that You use to access the Service.
Digital Assets
means cryptocurrencies, stablecoins and other digital tokens supported by the Service from time to time.
Fees
means the fees and charges for the Service, as displayed on the CentPay web platform and in the CentPay mobile application.
Identity Verification
means the Know Your Customer (KYC) and customer due diligence checks We carry out to verify Your identity and meet Our legal obligations.
Premium Membership
means a paid membership plan that gives access to additional features or benefits.
Service
means the CentPay web platform and the CentPay mobile application, including Our website at https://centpay.io and related subdomains, and all related features, products and services.
Third-Party Provider
means an independent company, not controlled by the Company, that provides a service You access through the web platform or mobile application, including cryptocurrency service providers and their payment partners, Card Issuers and payout partners.
Transaction
means any deposit, withdrawal, transfer, Card payment, top-up, purchase, sale, swap or other operation carried out through the Service.
Wallet
means the balance record within Your Account in which supported Digital Assets are held for You.
You or Your
means the individual who uses the Service.

3. Eligibility

3.1

To use the Service, You must be at least 18 years old, or the age of legal majority in Your country of residence if higher.

3.2

You must not be located in, or a resident or citizen of, any country or region where the use of the Service, or any part of it, is prohibited or restricted by law, or which We designate as unsupported from time to time. You must not be the subject of any sanctions administered by any legal or equivalent authority.

3.3

You may hold only one Account. You must not open an Account on behalf of, or for the benefit of, any other person.

3.4

We may refuse to open an Account, or restrict access to any feature, at Our sole discretion and without giving reasons, where permitted by law. Some features of the Service may not be available in Your country.

4. Your Account

4.1

You must provide accurate, complete and current information when You register, and You must keep Your information up to date.

4.2

You are solely responsible for keeping Your password, email account credentials, two-factor authentication (2FA) codes, authenticator app and the Device on which they are stored secure and confidential, and for all activity that takes place through Your Account. You must not share Your login details or 2FA codes with anyone. We may require 2FA for sensitive actions, such as withdrawals.

4.3

To the fullest extent permitted by law, the Company shall not be liable for any loss, damage or unauthorised access to Your Account arising from Your failure to keep these details secure, including where Your password, email account credentials or 2FA codes are disclosed, or where the Device on which they are stored, Your authenticator app or Your email account is lost, stolen or accessed by another person.

4.4

You must notify Us immediately at support@centpay.io if You suspect that Your Account has been accessed without Your authorisation, or that Your login details or Card details have been lost, stolen or compromised. We will never ask You for Your password or 2FA codes.

4.5

Your Account is personal to You and may not be sold, transferred or shared.

5. Identity Verification and Compliance

5.1

We are required by law to verify the identity of Our customers. You must complete Identity Verification before You can use certain features of the Service, including Cards and withdrawals.

5.2

We may, at any time, ask You to provide additional information or documents, including information about the source of Your funds, and You agree to provide them promptly.

5.3

You authorise Us, and Our Identity Verification and screening providers, to make the enquiries We consider necessary to verify Your identity and to screen You against sanctions, politically exposed persons and fraud databases.

5.4

We may refuse, delay, suspend or restrict any Transaction or feature if Identity Verification is not completed, if the information You provide is incomplete, inaccurate or unsatisfactory, or if We are required to do so by law.

5.5

We monitor Transactions to prevent money laundering, terrorist financing, fraud and other financial crime. We may report suspicious activity to the relevant authorities and may be prohibited by law from telling You that We have done so.

Wallet, Cards and Transfers

6. Nature of the Service

6.1

CentPay is not a bank. Balances held in Your Wallet are not bank deposits, do not earn interest, and are not covered by any deposit protection or insurance scheme.

6.2

We do not provide investment, financial, legal or tax advice. Any information provided through the Service is for general information only, and You should obtain independent professional advice before making any financial decision.

6.3

The Company does not operate a cryptocurrency exchange. The Buy, Sell and Swap features are provided by independent Third-Party Providers, as described in these Terms.

7. Wallet, Deposits and Withdrawals

7.1

Your Wallet allows You to hold balances of the Digital Assets supported by the Service, as shown on the web platform and in the mobile application.

7.2

You must only send supported Digital Assets, on the supported blockchain network, to the deposit address generated for Your Account. Digital Assets sent to the wrong address, on an unsupported network, or of an unsupported type may be permanently lost. We are not responsible for such losses and may be unable to recover the assets.

7.3

Deposits are credited to Your Wallet after the required number of blockchain confirmations and the completion of any compliance checks.

7.4

When You make a withdrawal, You are solely responsible for entering the correct destination address and selecting the correct network. Blockchain transactions cannot be cancelled or reversed once they have been broadcast. Minimum amounts, limits and network fees apply, as displayed on the web platform and in the mobile application.

7.5

We may delay, hold or reject any deposit or withdrawal where We consider it necessary for security, compliance or legal reasons.

7.6

If any amount is credited to Your Wallet in error, You must notify Us and You must not use it. We may reverse any erroneous credit, and You must return any amount that You are not entitled to.

8. CentPay Cards

8.1

Cards are issued by Card Issuers under licence from card networks such as Visa and Mastercard. Your use of a Card is also subject to the terms of the relevant Card Issuer, which You accept when You apply for or use the Card.

8.2

A Card application requires completed Identity Verification. Approval of any application is at the discretion of the Company and the Card Issuer.

8.3

Cards are prepaid. You can only spend the balance loaded onto Your Card, which You top up from Your Wallet. Top-ups, currency conversion and other Card services are subject to the Fees and rates displayed on the web platform and in the mobile application before You confirm.

8.4

You must keep Your Card details, PIN and activation code confidential. If Your Card is lost, stolen or compromised, You must freeze it immediately on the web platform or in the mobile application and contact Us at support@centpay.io.

8.5

Card transactions may be declined by a merchant, the Card Issuer or the card network. We are not responsible for any merchant’s refusal to accept a Card, or for the goods and services You buy with it.

8.6

You must report any unauthorised or incorrect Card transaction to Us promptly, and in any event within 30 days of the transaction date. Disputes are handled in accordance with the rules of the Card Issuer and the card network, and a refund is not guaranteed.

8.7

For physical Cards, You are responsible for providing a correct delivery address. Delivery times are estimates only. We or the Card Issuer may suspend, block or cancel a Card at any time where required for security, compliance or legal reasons.

9. Transfers

9.1

Peer-to-peer (P2P) transfers. You may send Digital Assets to other CentPay users. You are responsible for checking the recipient’s details before confirming. Completed P2P transfers are final and cannot be reversed by Us. If You send funds to the wrong person, You must seek their return from the recipient directly.

9.2

Global Transfer. International transfers are completed through Our payout partners and may be available only to Premium Membership holders and in certain countries. The exchange rate, Fees and estimated delivery time are displayed before You confirm. You are responsible for the accuracy of the recipient’s details. Transfers may be delayed or rejected by Us or Our payout partners for compliance or operational reasons, and a transfer cannot be cancelled once it has been paid out.

9.3

We may set limits on the amount, number or frequency of transfers.

Crypto Services, Risks and Fees

10. Cryptocurrency Services Provided by Third Parties

10.1

The Buy, Sell and Swap features are provided by independent, licensed third-party cryptocurrency service providers and, for fiat purchases and sales, by their payment partners. When You use these features, You contract directly with the relevant Third-Party Provider, and its own terms and privacy policy apply.

10.2

The Company acts only as a technology interface that connects You with Third-Party Providers. We do not execute, match or settle these transactions, and We do not set the rates. Quotes shown on the web platform and in the mobile application are estimates, and the final amount is determined by the Third-Party Provider.

10.3

Third-Party Providers may carry out their own identity verification, may refuse a transaction, and may only be available in certain countries.

10.4

You are responsible for entering the correct recipient wallet address. Transactions sent to an incorrect address cannot be reversed.

10.5

We are not responsible for the acts, omissions, delays, failures, rates or fees of any Third-Party Provider. Any dispute about a Third-Party Provider’s service must be raised with that provider, although We may assist You where reasonably possible.

11. Risks of Digital Assets

11.1

By using the Service, You acknowledge and accept the risks of Digital Assets, including that:

  • the value of Digital Assets is highly volatile and may fall significantly, or to zero, in a short time;
  • stablecoins may lose their intended value relative to the currency they track;
  • blockchain transactions are irreversible, and errors cannot be corrected;
  • blockchain networks may be affected by congestion, high fees, forks, technical failures or attacks;
  • changes in law or regulation may restrict or prohibit the use of Digital Assets or the Service; and
  • there is no guarantee that a market will exist for any Digital Asset at any time.
11.2

You are solely responsible for Your decisions to buy, sell, hold, send or receive Digital Assets.

12. Premium Membership

12.1

We offer optional Premium Membership plans. The benefits, price and duration of each plan are described on the web platform and in the mobile application.

12.2

The plan fee is deducted from Your Wallet when You purchase the plan, and You authorise Us to make that deduction. Where a plan renews, the renewal fee is deducted from Your Wallet at the start of each new period, as described on the web platform and in the mobile application. If Your Wallet balance is insufficient, Your Premium Membership may lapse.

12.3

Premium Membership fees are non-refundable, except where the law requires otherwise.

12.4

We may change the benefits of any plan. Features described as “coming soon” are not guaranteed and may not be provided.

13. Referral Programme and Cashback

13.1

We may offer referral bonuses, cashback and other rewards, subject to the conditions displayed on the web platform and in the mobile application.

13.2

We may change, suspend or end any reward programme at any time, without notice.

13.3

We may cancel rewards, and suspend Your Account, if We reasonably suspect abuse, including self-referral, the use of multiple Accounts, or fraudulent activity.

14. Fees and Taxes

14.1

The Fees for each service are displayed on the web platform and in the mobile application before You confirm a Transaction. By confirming, You agree to pay them, and You authorise Us to deduct them from Your Wallet or Card balance.

14.2

Blockchain network fees and Third-Party Provider fees may also apply, and they are outside Our control.

14.3

We may change Our Fees at any time. Changes apply to Transactions made after the new Fees are displayed on the web platform and in the mobile application.

14.4

You are solely responsible for determining and paying any taxes that apply to Your Transactions. We may report information to tax authorities where the law requires it.

Use of the Service and Termination

15. Prohibited Use

15.1

You must not use the Service, or allow it to be used:

  • for any unlawful purpose, including money laundering, terrorist financing, fraud or tax evasion;
  • to evade sanctions, or from a prohibited or unsupported country, including by using a VPN or other means to disguise Your location;
  • to use another person’s identity, Account or payment details, or to provide false information;
  • to open or operate more than one Account;
  • to buy or sell illegal goods or services;
  • to interfere with, disrupt, probe or attempt to gain unauthorised access to the Service, Our systems or other users’ Accounts;
  • to copy, modify, reverse engineer, decompile or create derivative works of the web platform or mobile application, or to use bots, scrapers or other automated tools;
  • to transmit viruses or other harmful code;
  • to abuse any promotion, reward or referral programme; or
  • in any way that breaches these Terms or harms the Company, other users or any third party.

16. Suspension, Restriction and Termination

16.1

We may suspend, restrict or close Your Account, or any feature of the Service, at any time and with or without notice, including where:

  • You breach these Terms;
  • We are required to do so by law, a regulator, a court or another authority;
  • We suspect fraud, money laundering, sanctions violations or other illegal activity;
  • You do not complete Identity Verification or provide information We request; or
  • We consider it necessary to protect You, other users, the Company or the Service.
16.2

Where required by law, or while an investigation is ongoing, We may hold funds in Your Account and refuse Transactions.

16.3

You may close Your Account at any time by contacting Us at support@centpay.io. Before Your Account is closed, You must withdraw Your remaining balance, and any pending Transactions, Card balances or disputes must be resolved.

16.4

When Your Account is closed, Your right to use the Service ends. Unless the law prevents Us, We will allow You to withdraw any remaining balance to which You are lawfully entitled, subject to Identity Verification and applicable Fees.

16.5

Any provisions of these Terms which by their nature should survive termination, including those on Fees, risks, intellectual property, disclaimers, limitation of liability, indemnity and governing law, will continue to apply.

17. Intellectual Property

17.1

The Service, the web platform, the mobile application and all related content, software, trademarks and logos are owned by the Company or its licensors and are protected by intellectual property laws.

17.2

We grant You a limited, personal, revocable, non-exclusive and non-transferable licence to access the web platform and use the mobile application on a Device that You own or control, solely for Your personal use in accordance with these Terms.

17.3

If You send Us feedback or suggestions, We may use them without any obligation to You.

18. Availability, Updates and Third-Party Services

18.1

We do not guarantee that the Service will be available at all times or free from interruption or error. We may suspend the Service for maintenance, security or other reasons.

18.2

We may release updates to the web platform and mobile application. Some updates may be required in order to continue using the Service.

18.3

The Service may contain links to, or display content from, third-party websites and services. We are not responsible for their content, availability or practices.

Warranties and Liability

19. Disclaimer of Warranties

19.1

To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement.

19.2

We make no warranty about the value of any Digital Asset, the services of any Third-Party Provider, or that the Service will meet Your requirements or be secure or error-free.

20. Limitation of Liability

20.1

To the maximum extent permitted by law, the Company and its affiliates, directors, officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or Digital Asset value, however caused.

20.2

Without limitation, We are not liable for any loss arising from:

  • an incorrect address, network, recipient or other detail that You provide;
  • the acts or omissions of any Third-Party Provider, Card Issuer, card network, payout partner or blockchain network;
  • changes in the market value of Digital Assets;
  • unauthorised access to Your Account resulting from Your failure to keep Your login details, 2FA method or Device secure;
  • any action We take to comply with the law or these Terms; or
  • events beyond Our reasonable control.
20.3

To the maximum extent permitted by law, Our total aggregate liability to You for all claims arising from or relating to the Service or these Terms is limited to the total Fees You paid to Us in the 12 months before the event giving rise to the claim.

20.4

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

21. Indemnity

21.1

You agree to indemnify and hold harmless the Company and its affiliates, directors, officers, employees and agents from and against any claims, losses, liabilities, damages, costs and expenses, including reasonable legal fees, arising from Your breach of these Terms, Your misuse of the Service, Your violation of any law or third-party right, or any information You provide.

22. Force Majeure

22.1

We are not liable for any delay or failure to perform caused by events beyond Our reasonable control, including natural disasters, war, terrorism, civil unrest, pandemics, government action, sanctions, failures of the internet, blockchain networks or telecommunications, cyberattacks, failures of Third-Party Providers, and industrial action.

General Terms and Contact

23. Communications and Notices

23.1

You agree to receive communications from Us electronically, including through the web platform and mobile application, by email and by SMS. Electronic communications satisfy any legal requirement for communications to be in writing.

23.2

You must keep Your email address and phone number up to date. Notices to Us must be sent to info@centpay.io.

24. Changes to These Terms

24.1

We may amend these Terms at any time, at Our sole discretion and without prior notice. Any changes take effect immediately when the updated Terms are posted, and the “Last updated” date at the top of these Terms will be revised accordingly.

24.2

We are not obliged to notify You individually of any changes. It is Your responsibility to review these Terms periodically. Your continued use of the Service after any changes are posted constitutes Your acceptance of the updated Terms. If You do not agree to the updated Terms, You must stop using the Service and close Your Account.

24.3

Where applicable law requires Us to notify You of a change, or to obtain Your consent before a change applies to You, We will do so.

25. App Store and Google Play Terms

25.1

These Terms are an agreement between You and the Company only, and not with Apple Inc. or Google LLC (each a “Platform Provider”). The Company, and not the Platform Provider, is solely responsible for the mobile application and its content.

25.2

Your licence to use the mobile application is limited to use on a Device that You own or control and that runs the relevant operating system, as permitted by the usage rules of the Platform Provider’s store terms.

25.3

The Platform Providers have no obligation to provide any maintenance or support services for the mobile application.

25.4

To the maximum extent permitted by law, the Platform Providers have no warranty obligation with respect to the mobile application. If the mobile application fails to conform to any applicable warranty, You may notify the relevant Platform Provider, which may refund the purchase price of the mobile application, if any.

25.5

The Company, and not the Platform Providers, is responsible for addressing any claims relating to the mobile application or Your use of it, including product liability claims, claims that the mobile application fails to meet any legal or regulatory requirement, claims under consumer protection or privacy laws, and claims that the mobile application infringes a third party’s intellectual property rights.

25.6

You represent and warrant that You are not located in a country that is subject to a United States Government embargo, or that has been designated by the United States Government as a “terrorist supporting” country, and that You are not listed on any United States Government list of prohibited or restricted parties.

25.7

Apple Inc., Google LLC and their subsidiaries are third-party beneficiaries of these Terms. Upon Your acceptance of these Terms, each of them will have the right, and will be deemed to have accepted the right, to enforce these Terms against You as a third-party beneficiary.

26. General Provisions

26.1

Entire agreement. These Terms, together with Our Privacy Policy and any additional terms that apply to specific features, form the entire agreement between You and the Company regarding the Service.

26.2

Severability. If any provision of these Terms is found to be invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.

26.3

No waiver. Our failure to enforce any provision of these Terms is not a waiver of Our right to enforce it later.

26.4

Assignment. We may assign or transfer Our rights and obligations under these Terms. You may not assign or transfer Yours without Our prior written consent.

26.5

Relationship. Nothing in these Terms creates any partnership, joint venture, agency or employment relationship between You and the Company.

26.6

Third-party rights. Except for the rights given to the Platform Providers in these Terms, no third party has any right to enforce these Terms.

26.7

Language. These Terms are written in English. Where they are translated into another language, the English version prevails in the event of any inconsistency, to the extent permitted by law.
